4. Use of the Services

4.2 User Content

"User Content" includes prompts, files, configurations, logs, messages, and any other data you provide.

You retain ownership of your User Content. By using the Services, you grant Actwise a license to process your content solely to operate, improve, and provide the Services.

We do not claim ownership over your agents, workflows, or configurations.

4.3 Generated Outputs

You are responsible for verifying the accuracy, safety, and appropriateness of all AI-generated outputs before using them.

Actwise makes no guarantees regarding correctness, legality, or fitness for any purpose.

4.4 Third-Party Integrations

You may connect third-party APIs or services.

You are responsible for:

  • Complying with their terms
  • Managing your keys or credentials
  • Ensuring you have the right to use connected services

Actwise is not responsible for third-party behavior or failures.

5. Subscriptions and Billing

5.1 Pricing

Pricing is described on our website. We may update pricing with notice.

5.2 Payment

All paid plans require a valid payment method. Fees are billed in advance and are non-refundable unless required by law.

5.3 Automatic Renewal

Subscriptions renew automatically unless canceled.

You may cancel at any time; your access continues until the end of the current billing period.

5.4 Taxes

You are responsible for any applicable taxes.

6. Intellectual Property

6.1 Ownership

Actwise owns all rights to the platform, software, documentation, brand assets, and any related intellectual property.

6.2 Restrictions

You may not:

  • Remove or obscure proprietary notices

You agree not to use the Services to:

  • Build competing LLM platforms using proprietary access patterns
  • Perform automated scraping, load testing, or denial-of-service attacks
  • Interfere with Service integrity or performance

We strive to maintain reliable uptime but do not guarantee uninterrupted access.

  • Actwise is not liable for indirect, incidental, consequential, or punitive damages.
  • Actwise's total liability for all claims will not exceed the amount you paid us in the past 12 months.

Some jurisdictions do not allow certain limitations, so these may not apply to you.

You agree to indemnify and hold Actwise harmless from claims, damages, or losses arising out of:

  • Your use of the Services
  • Your User Content
  • Violations of these Terms
  • Misuse of third-party integrations

These Terms are governed by the laws of New Zealand, without regard to conflict-of-law principles.
